Welcome to BepNL, owner, operator and trader under the name and as part of Brouwhoeve & Partners. Our terms and conditions (‘Terms’, ‘Terms of Service’, ‘General Provisions’) are important for:

No right, license or interest in such trademarks is granted hereunder, and you agree that no right, license or interest in such trademarks may be invoked by you. The trademark extends to the company’s trade name, brand logo, and all product names. The use or misuse of our trademark or any other material containing our trademark without the prior written consent of the management of Brouwhoeve is expressly prohibited.

FUNCTION

4.1 BepNL makes available on its websites (apps) or any other medium that may be set up in the future, a technological platform (hereinafter “WEBSITE”) where third-party suppliers (hereinafter “SUPPLIERS” or “PARTNERS”) sell online wines, beers, spirits, alcoholic beverages, soft drinks or any other product and services aimed at users (hereinafter “USERS”, “CONSUMERS” or “CUSTOMERS”).

4.2 BepNL may expand or modify its WEBSITE in accordance with the development and evolution of its products and services, replace new products, services, activities or content.

TERMS AND CONDITIONS OF USE

5.1 ACCEPTANCE OF TERMS AND CONDITIONS OF USE

5.1.1 These general terms and conditions of use and sale (hereinafter referred to as “General Terms”), together with the Privacy Policy, govern the USER’s access and use of the website, as well as the purchase of products and the rental of services in this regard.

BepNL hereby informs Users that the General Terms and Conditions are subject to change. Users must carefully read the General Terms and Conditions when visiting the Website

5.1.2 The USER hereby declares:

a.) that he/she has read and understands the provisions contained herein;;

b.) That he/she is of legal age to purchase alcoholic beverages according to the regulations of the country of residence and has sufficient capacity to rent

c.) That he/she complies with all obligations herein

d.) That he/she understands that the WEBSITE is a technological platform and the property of Brouwhoeve & Partners on which he/she can purchase products from the suppliers who advertise and sell their products on the aforementioned platform.

5.1.3 The owner of the WEBSITE reserves the right to modify the content and services at any time without prior notice. The same applies to these general terms and conditions and, in general, to all elements relating to the design and configuration of the WEBSITE.

5.2 ACCESS TO THE WEBSITE

5.2.1 Access to the WEBSITE is free, with the exception of the costs of the internet connection provided by the USER’s internet provider.

5.2.2 Given that the content of the WEBSITE includes services and other products, alcoholic beverages, access to the same is only permitted to individuals of legal age in accordance with the law provided for in their country of residence. Please leave this website immediately if you are a minor.

5.3. REGISTRATION OBLIGATION

5.3.1 In general, it is not necessary to register as a USER to access the services and contents of the website. Notwithstanding, the use of certain services and contents will be subject to the prior registration of the user.

5.3.2 The data entered by the USER must be accurate, current and true at all times. Registered USERS will be responsible at all times for the safekeeping of their password, so this in case of any damage that may arise as a result of an unlawful use thereof, as well as for the assignment, disclosure or misplacement thereof. Accordingly, access to the restricted areas and/or use of the services and contents made through a registered password of the USER will be attributed to the same USER, who will answer for said access and use.

5.3.3 After registering on our platform, you will obtain the status of user, customer or business contact of BepNL, with which, as indicated in our Privacy policy, our company is protected under the legitimate interest of the ‘European Data Protection Regulation’ and the ‘Law of Services for the Information Society and Electronic Commerce’ for sending electronic communications. In these emails you are given the opportunity to exercise your rights. Please read our Privacy Policy.

5.4. TERMS AND CONDITIONS OF USE

5.4.1 The USER undertakes to use the website and all its contents and services ethically in accordance with what is provided by law and these general terms and conditions of sale.

5.4.2 Furthermore, the USER undertakes to use the services and/or contents of the website correctly and to refrain from using them for illegal or criminal activities that infringe the rights of third parties and/or infringe intellectual or industrial property regulations, or any other application of a series of laws.

5.4.3 The USER undertakes not to transmit, carry, make public or make available to third parties any material of any type and information such as data, content, messages, drawings, sound and image data files, photos or software that infringe the law, morality, public order and these general terms and conditions. For purely guideline purposes, and in no way limited or exclusive to the following, the USER undertakes to:

I.- Refrain from introducing or distributing content or advertising of any kind that is racist, xenophobic, pornographic, incites terrorism, infringes on human rights or encourages irresponsible alcohol consumption.

II.- Refrain from introducing or distributing over the Internet data programs (viruses and malicious software) that could cause damage to the information systems of the Internet service providers, their suppliers or third-party Internet users.

III.- Refrain from distributing, transferring or making available to third parties any type of information, element or content that violates fundamental rights and public freedoms protected by the Constitution and international treaties.

IV.- Refrain from distributing, transferring or making available to third parties any type of information, element or content that constitutes unfair or illegal advertising.

V.- Refrain from introducing unsolicited or unauthorized advertising, spam, chain letters, pyramid schemes or any other form of unsolicited mailing, except to those areas (such as commercial spaces) that were designed exclusively for such purposes.

VI.- Refrain from introducing or disseminating false, ambiguous or incorrect information or content that misleads the recipients of such information.

VII.- Prevent other USERS from impersonating you using their registration passwords and thus accessing the various services of the website and/or content.

VIII.- Refrain from distributing, transmitting or making available to third parties any type of information, element or content that constitutes a violation of the rights of industrial and intellectual property, patents, trademarks or copyright that have been agreed or belong to the owners of the website or third parties.

IX.- Refrain from distributing, transmitting or making available to third parties any type of information, element or content that constitutes a violation of the privacy of communications and the rules of data protection.

The USER undertakes not to hold BepNL liable for any possible claims, penalty, fine or sanction that it is obliged to bear as a result of the USER’s failure to comply with any of the aforementioned rules of use. In addition, BepNL reserves the right to claim damages that may correspond to any of these circumstances.

5.5 DISCLAIMER OF LIABILITY

5.5.1 The USER’s access to the website does not imply that BepNL has the obligation to check the absence of viruses, worms or other malicious hardware. In any case, the USER is responsible for having the necessary tools to intercept and destroy malicious hardware.

5.5.2 BepNL is not liable for any damage caused by the software and equipment of the USER or third parties, when using services offered through the WEBSITE.

5.5.3 BepNL is not liable for any type of damage to the user as a result of telecommunications failures or crashes that lead to the suspension, cancellation or interruption of the website service while it was provided prior to delivery.

5.6 CONTENT AND SERVICES LINKED THROUGH THE WEBSITE

5.6.1 The access service to the WEBSITE contains devices for technical linking, directories and even search functions that allow the USER to access other pages and sites on the Internet (hereinafter “Linked Sites”). In this case, BepNL will be solely liable for the contents and services indicated on the linked sites to the extent that there is effective knowledge of any illegality or when it has not been able to disable the link promptly. If the USER believes that there is a linked site with illegal or inappropriate content, he/she may communicate this to BepNL, without this having any obligation to remove the link in question.

5.6.2 In no case should the Linked Sites assume the execution of formal agreements with their owners or those responsible for them, nor is it in any way a recommendation, promotion or identification with the of claims of BepNL, content or services related thereto.

BepNL has no knowledge of the content and services of the Linked Sites and is therefore not liable for damage caused by the illegality, quality, lack of data, unavailability, error or uselessness of the aforementioned content and services, or for any other damage for which BepNL is not directly responsible.

5.6.3 If the user has access or is redirected to linked sites that make it possible to rent services and/or products, the USER is aware and accepts that BepNL acts as a mere intermediary by facilitating this access. Accordingly, it will not be liable, indirectly or indirectly, for damage of any kind resulting from the free use and/or purchase or rental of the aforementioned products and services from third parties, or for any lack of legality, reliability, utility, truth, accuracy, completeness or incompleteness of the related thereto. For purely indicative purposes, and by no means comprehensive, BepNL shall not be liable for: damages of any nature whatsoever resulting from the defective observance or non-observance of contractual obligations acquired by third parties; unfair competition or unauthorized advertising; the failure of the aforementioned services and products to meet expectations or for defects of any type that they may have.

5.7 PRODUCT CLASSIFICATION AND VISIBILITY

BepNL classifies the products offered on the WEBSITE according to the following main parameters:

– Quality of service of the store: this is rated positively (1100 points) or negatively (min 1100 points), depending on the score up to 10. This score is calculated on the basis of the appreciation of the service by customers, the number of incidents, etc.;

– Sales price of the product: this is rated with 1100 points, the score depends on the height of the price;

– Full price (product + shipping): this is rated with a score of 1100 points if the store is located in the same country as the customer, or with 1000 points if the store is not located in the customer’s country;

– If it is a store that belongs to the ‘Brouwhoeve & Partners Shipping Service’ service, this is rated positively with 100 points;

– Products whose price includes a discount are rated with 1 point (so that this only applies to offers where the other conditions score the same);

– In the case that the product is already in the customer’s shopping cart, this is rated positively with 10,000 points (which puts the product at the top of the product options);

– If the product offered is not available in the customer’s country, this results in a deduction of 10,000 points, which puts the product last in the list of purchase options.

The system uses these scoring criteria for all offers and assigns a percentage of the available points to each of these offers (for example, 100% of the points if the offer is best positioned for the criterion in question), and a proportionally lower percentage the further away the offer is from the first position of the selected criterion.

In some cases, the classification of products may be changed as a result of commercial agreements that we have with our sellers.

INTELLECTUAL AND INDUSTRIAL PROPERTY

6.1 All contents of the WEBSITE (including but not limited to guidelines, texts, photographs, graphics, images, icons, technology, software, links and other audiovisual or sound content, as well as its graphic design and source codes) are the property of BepNL or third parties. Under no circumstances are these rights of use assigned to the USER in accordance with current intellectual property regulations.

6.2 The brands, trade names and distinctive signs are the property of BepNL or third parties and access to the website cannot be considered as granting rights with respect to the same.

6.3 By accepting these general terms and conditions, the USER hereby grants to BepNL, free of charge and exclusively, all rights of use with respect to the articles, comments and opinions (hereinafter the “content”) that the USER publishes or authorizes to publish on the WEBSITE. The aforementioned assignment will be understood as protection for all USERS worldwide, without any limitation whatsoever, and for the maximum period provided by the Spanish Royal Decree Law 1/1996, dated April 12, establishing the consolidated legislation on intellectual property, normalizing, clarifying and harmonizing the current legal provisions in this regard. BepNL may exercise the rights to reproduce, transform, distribute and make public the content in the broadest sense provided for in the aforementioned law.

6.4 The USER, who hereby declares to be aware of all intellectual property rights over the aforementioned articles, comments and opinions, undertakes to assume liability or respond to any claim, including compensation for damages, that may be brought against BepNL by a third party who considers that his/her rights have been violated by actions resulting from obligations entered into by the USER that fall directly or indirectly under these general conditions.

6.5 Furthermore, the USER undertakes to protect BepNL from any liability for damages that BepNL or third parties may suffer as a result of giving due form to the assignment of rights under this clause.

6.6 BepNL is not responsible for the intellectual or industrial property rights that the SELLER mentions in the information relating to the sale of the product or service published on the platform owned by BepNL.

TERMS AND CONDITIONS OF SALE

7.1. Purpose of the application

7.1.1 These general terms and conditions of sale apply to any sales transaction carried out between USERS and SUPPLIERS who advertise and sell their products on the platform owned by BepNL and this when the SUPPLIERS have not established specific terms and conditions of sale.

For the application of these terms and conditions, the SUPPLIER will be considered as suppliers who advertise and offer their products on the website owned by BepNL. In addition, BepNL offers additional services in addition to those of the technological platform, such as payment methods, customer service and, where appropriate, logistics services.

7.1.2 In addition, these terms and conditions of sale apply to purchases by users in which BepNL acts as the SUPPLIER.

7.1.3 The terms and conditions previously stated in the terms and conditions are the minimum conditions and can be improved by the SELLER, in which case the improvements in question will take precedence over the terms and conditions of sale.

7.1.4 Given the characteristics of the platform, BepNL does not guarantee total product availability at the time of purchase, regardless of receipt of the email confirming the order. If the SUPPLIER does not have the product in stock, if BepNL does not wish to modify the product in question, the price of the product will be fully refunded or credit will be given for the same amount in the USER’s BepNL account. BepNL will make partial or full refunds no later than 14 calendar days from receipt of the USER’s request for refund.

7.2 Price

7.2.1 All prices and taxes on the consumption of the products advertised on the website were indicated by the SUPPLIERS. BepNL will ensure that no error occurs during the purchase process, but accepts no liability for the accuracy of the information provided by the SUPPLIERS.

7.2.2 Prices will be indicated in Euros and the currency corresponding to this or the place where the consumer resides. BepNL will at all times apply the market rules established for exchange rates.

7.2.3 It may happen that an error is made by the SELLER when entering the price of the product. If this error differs significantly (50% or more compared to the sales price) and when it is not a bargain, BepNL reserves the right to cancel the order at the request of the USER without any resulting costs for BepNL or the SUPPLIER.

7.3 Payments

7.4.1 The USER can pay for the purchases as listed on the BepNL website, as stated in the section that deals with ordering herein. Whatever the case, the systems involved are secure for payments. BepNL will pay the SELLER in turn.

7.3.2 BepNL reserves the right to use third-party means of electronic payment and/or financial institutions for payment management for the payments of USERS of the WEBSITE, in collaboration with the means of the payment providers.

7.3.3 BepNL does not have access to the bank details linked to the payment method of the USER and has no knowledge of, and does not record, these details during the payment transaction.

7.3.4 BepNL reserves the right to refuse or cancel orders at its sole discretion, after notifying the USER because:

(i) they contain incorrect or obvious product errors,

(ii) they contain inaccuracies or obvious errors in the determination of the price on the SITE, or if

(iii) any suspicion of fraud or of significantly incorrect, incomplete data provided by USERS has been established.

7.3.5 BepNL reserves the right to request a copy of the card used to make the purchase, the identity card, bank statement, national identity document, passport or equivalent to be sent by the USER by fax or email to confirm the accuracy of the data provided.

7.3.6 If the USER pays by bank transfer, he must ensure that the data in the email with the order confirmation appear in the said transfer. The transfer also contains the account number to which the transfer must be made, the amount concerned and a reference to the reference in order to speed up the final acceptance of the order concerned. The order will be processed after full payment has been booked. The delivery dates reported to the USER will take effect as soon as full payment of the entire amount has been received. The order paid by bank transfer is valid for 48 hours. Any payment after this period may be subject to changes with regard to price and availability of the product.

7.3.7 If an invoice is requested for the delivered goods, the USER may hereby expressly authorize the SELLER to forward it in digital format in the legal currency of the country where the SELLER resides.

7.3.8 If the payment was made by PayPal and if a collection agreement was made by clicking on the box “Remember PayPal data”, the User can cancel the above-mentioned agreement by accessing his/her user account in the section “Edit my account profile” or by accessing his/her PayPal account and canceling the agreement. The User hereby declares that under these circumstances the User data will be processed by PayPal.

7.3.9 BepNL and the SUPPLIER accept no liability for any order from a USER that is subject to special conditions and levies on the import of alcoholic products, for example levies on consumption, resale or import in the country of delivery, such as, but not limited to, excise duties. The USER is responsible for reporting and processing the necessary documentation in accordance with the applicable legislation in the country of delivery and to report the import of the above-mentioned products if they differ from those in the place in the country of the SUPPLIER. BepNL and the SUPPLIER will not pay for duties for which the USER is liable. If such a claim occurs and if the USER refuses to pay this tax, BepNL will not refund the user for his order.

7.6 Shipping and delivery costs

7.6.1 The shipping costs for USER orders must be paid by the USER, unless otherwise clearly stated.

7.6.2 BepNL or, if applicable, the SUPPLIER will state the costs for the shipping in the order process. These costs must be accepted in advance by the USER when approving the order, unless they are included in the price. BepNL will indicate in advance any additional costs that must be incurred in the purchasing process.

7.6.3 BepNL or, where applicable, the SUPPLIER will inform the customer during the purchase process of the estimated delivery dates of the order. The delivery dates stated in the payment order are merely estimates and refer to working days. The supplier will process the order no later than 48 business hours after payment is made, except in certain cases where the SUPPLIER or BepNL indicate that additional days are needed to prepare the order or to purchase the goods. BepNL is not liable for any additional delays to the estimated delivery date.

7.6.4 The USER is responsible for checking the order at the time of delivery and for making a claim or complaint justified by the USER at the same time, such as a broken product or the absence of certain products. If the USER has not notified the courier at the time of delivery with the relevant document (packing slip) of a problem with the received order (breakages, missing goods, wrong products), BepNL and the SELLER will not be liable for any complaints or costs resulting from a possible later claim. BepNL may request photos that substantiate the USER’s claim regarding a delivery incident and pass them on to the SUPPLIER.

7.6.5 The logistics of orders is carried out by the SUPPLIER or, where appropriate, vendors hired by the SUPPLIER to provide this service. Therefore, BepNL does not intervene in any way during this process. BepNL accepts no liability arising from any breach of the obligations under this clause caused by an act or omission of the logistics operator, without prejudice to any steps that BepNL may freely take to help devise a solution to any incidents that may have occurred and this at the request of the parties concerned. If BepNL is responsible for the management of the logistics, the USER will be informed of this in advance.

7.6.6 The orders will be delivered to the delivery address freely indicated by the USER in the order form, as long as the confirmed address is within the delivery areas indicated on the platform. For this, USERS are informed that there may be SUPPLIERS who do not accept a PO Box as a delivery address, in this case the USER will be informed in advance and the order will be cancelled, unless the user can indicate an alternative address in the same place. BepNL accepts no liability if delivery could not take place because the USER’s details provided for this purpose are incorrect, or for circumstances in which delivery cannot be carried out for reasons beyond the control of the assigned delivery company, such as the absence of the addressee.

7.6.7 The order will be delivered as soon as possible and, in any case, no later than thirty (30) calendar days from the date of confirmation of the order. Although the order contains an estimated delivery date, the SUPPLIER reserves the right to change this date as long as the USER and BepNL have been informed in advance. The delivery date on the order is purely informative and not contractually binding. As long as the product has not been shipped and/or the total delivery period from the payment of the order is greater than 30 calendar days, the USER can cancel the order without charge and receive a refund of the price.

7.6.8 Deliveries are made on working days (Monday to Friday) during office hours (9 a.m. – 7 p.m.). Unfortunately, there are no deliveries on weekends, outside office hours or on public holidays, regardless of whether the USER has indicated these options when ordering or communicated them to the BepNL team.

7.7 Withdrawal and return

7.7.1 Orders can be cancelled without further costs until the moment the shipment is prepared for dispatch to the USER. If the request for cancellation comes from the USER after the order has been prepared, the cancellation will be considered as a return by the USER.

7.7.2 The USER can freely return the purchased products without giving any reason within fourteen (14) working days from receipt of the product. The accreditation of the delivery of the product will serve for the calculation of the aforementioned fourteen (14) days.

7.7.3 To exercise the right to withdraw from the purchase, the user must write to the following email address info@brouwhoeve.es, indicating the email used for the purchase and the order number and this for management purposes. BepNL will respond to this and provide the USER with precise instructions on how to exercise the right of return. In addition, the USER can use the return form available at the following link: …………….

7.7.4 The user will pay for the return costs and will take all necessary steps for the return of the product. This product must be safely and separately packaged so that the goods are returned in a perfect state of preservation. The USER is liable for any defect or damage to the product incurred during this process.

7.7.5 In the event of any return of the order, BepNL will pay the total amount of the order, less any collection costs normally borne by BepNL or the SUPPLIER, or by means of the payment method used by the USER to purchase the product, and this at the latest within fourteen (14) calendar days after checking the good condition of the product returned by the customer to BepNL or the supplier.

7.7.6 BepNL will only accept the return of the product when its use is limited to merely checking its good functioning by the user, in accordance with current legislation.

7.7.7 BepNL will not accept returns of products that have suffered and are spoiled by the CUSTOMER.

7.7.8 The products must be returned by the CUSTOMER in their original packaging and in perfect condition (i.e. undamaged and clean) and must be sent to the place indicated by BepNL in the instructions sent to the customer. In addition, the packaging must be fully identified to show who the sender is. If the item in question is not sent under these stated conditions, this will result in a debit that must in all cases be paid by the customer.

7.7.9 Returns will not be accepted and applicable in the circumstances covered by article 103 of the Spanish Royal Legislative Decree 1/2007, dated 16 November, the consolidated legislation of general consumer and user rights. For purely indicative purposes, and in any way understandable, the return of custom-made or perishable products cannot be covered, notwithstanding the foregoing. In case of doubt, the CUSTOMER must consult BepNL in advance.

7.7.10 If there is an error in the delivery or a product is broken, the supplier, through the mediation of BepNL, undertakes to exchange this product for another similar one, as long as it is available. The SUPPLIER will pay for return and shipping costs. If it is not possible to replace the product, the price of the same product will be refunded within 14 calendar days at the latest. 7.8 ORDERS FREE OF VAT

Suppliers of BepNL may send invoices without VAT as long as they comply with the requirements of the applicable regulations.

NON-LIABILITY STATEMENT

9.1 All information published on the WEBSITE, including, guidelines are not limited and are not exclusive to product description, availability and price, are provided by the SUPPLIER. BepNL limits itself to offering the SUPPLIER’s products and facilitating their availability and their purchase and payment. Therefore, BepNL only offers an intermediary service.

9.2 The SUPPLIER has assigned the intellectual and industrial property rights to BepNL to correctly sell the products indicated and advertised on the platform, and declares to be in possession of all permits and licenses for this purpose, which means that BepNL cannot be held liable for this.

9.3 The SUPPLIER retains the commercial distribution rights over the sub-distribution on BepNL. BepNL accepts no liability

9.4 Notwithstanding the foregoing, BepNL will exercise maximum diligence in the selection of the SELLERS and, if necessary, check that the SUPPLIER meets the requirements to offer its services or deliver the products in question.

9.5 The images illustrating the products advertised on the WEBSITE have been provided by our SUPPLIERS and every effort has been made to avoid any error. Nevertheless, if the user finds an error, he/she can report it to BepNL customer service and BepNL will resolve the problem as soon as possible.

9.6 BepNL limits itself to publishing information provided by the SUPPLIER, but cannot guarantee that it is accurate and true.

9.7 BepNL accepts no liability for links and the content of websites owned by third parties that may be included by BepNL to provide USERS with more information. If the USER accesses these links, he/she will be subject to the terms and conditions of use and/or sale and the privacy policy of those sites.

9.8 With regard to international shipments, the stamp duty of the products delivered to the USER by the SUPPLIER will be that in force in the country of origin (SUPPLIER). The USER is liable for the management or costs resulting from any change or formality related to the stamp duty.

INVALIDITY AND NULLITY CLAUSE

If any of the clauses of these general terms and conditions of use are declared null and void or invalid, in whole or in part, and such nullity or invalidity affects the component in question, or the part thereof that is found to be null and void or invalid. Notwithstanding this, the remaining general terms and conditions shall remain valid, and the partial or entire component considered invalid shall be construed as no longer forming part of said general terms and conditions.

APPLICABLE LAW AND JURISDICTION

These terms and conditions are governed by and construed in accordance with the laws of Spain and the Netherlands.

The parties submit to the resolution of disputes to the court or tribunal of their place of residence and waive any claims to any other jurisdiction.
